THE CODEX PROTOCOL® TERMS AND CONDITIONS

The Codex Protocol® is a premium, invitation-based digital platform and programme with integrated executive coaching designed to support guests with structured personal and professional development. The programme may include access to proprietary digital content, frameworks, exercises, resources, tools, live or recorded sessions, coaching support and related cohort-based or community activities, as described at the time of purchase or registration.

By signing up to join, purchasing access to, or otherwise accessing The Codex Protocol located at https://www.codexprotocol.co (“The Codex Protocol”), you agree to be bound by these Terms and Conditions (the “Terms” or “Terms and Conditions”). Please read these Terms carefully before joining, as they constitute a legal agreement between The Codex Protocol Limited, a company registered in England and Wales with company number 17235272 and registered office at Crown Walk, 1 Jewry Street, Winchester, Hampshire, United Kingdom, SO23 8BB (“we”, “us” or “our”) and you, the individual accessing the programme (“Guest” or “you”).

We reserve the right to change, modify, add or remove portions of these Terms from time to time where reasonably necessary, including to reflect changes to The Codex Protocol, applicable law, payment processes, security requirements, third-party platform requirements or our business operations. When we change these Terms in a material way, a notice will be posted on https://www.codexprotocol.co along with the updated Terms, or we will otherwise bring the updated Terms to your attention. It is your responsibility to periodically check these Terms for changes.

The updated Terms will apply to your continued access to The Codex Protocol after the date on which they are posted or notified. If you do not agree to the updated Terms, you should stop using the programme and, where applicable, cancel your access in accordance with these Terms. Changes will not affect any statutory rights you may have as a consumer.

Any breach by you of these Terms and Conditions may result in the suspension or termination of your access to The Codex Protocol.

Access and use of The Codex Protocol

You must be 18 years of age or older to access The Codex Protocol. When you complete the registration, checkout or onboarding process made available by us from time to time, you may be granted access to The Codex Protocol. You must provide certain information about yourself including your legal full name, a valid email address, billing information and any other information requested in order to complete the sign-up process and access The Codex Protocol.

Your access to The Codex Protocol is for your sole use only and you may not share your username, access code, account details or access to any of The Codex Protocol content or materials with any other person. You are solely responsible for maintaining the confidentiality and security of your username, access code and account details. Any activities that occur under your account are your responsibility. We are not liable for any loss or damage resulting from your failure to safeguard your username, access code or account details.

You may not use The Codex Protocol for any illegal or unauthorised purpose. You shall use The Codex Protocol in a lawful, respectful, and professional manner at all times. Without limitation, you agree not to:

(a) Misrepresent your identity – including impersonating another person, submitting false or misleading information, or using another person’s credentials or account.

(b) Upload or transmit unlawful or harmful content – including content that is defamatory, obscene, discriminatory, harassing, infringing of intellectual property or privacy rights, or otherwise prohibited by law.

(c) Engage in abusive, manipulative, disruptive or unethical behaviour – including harassment of other guests, participants, coaches, facilitators or representatives of The Codex Protocol, or exploitation of The Codex Protocol for unintended purposes.

(d) Compromise the security or functionality of The Codex Protocol – including attempting to introduce viruses, malware or other harmful code; reverse-engineering; disrupting system integrity or performance; scraping, extracting or harvesting content or data; or circumventing any access restrictions or security features.

(e) Infringe any rights of The Codex Protocol, The Codex Protocol Limited or third parties – including misusing confidential information, violating intellectual property rights, copying, downloading, extracting, photographing, screen recording, recording, sharing, distributing, reselling or otherwise exploiting any of The Codex Protocol content, materials, sessions, resources, tools, frameworks, prompts, templates, checklists, guided session formats, transmissions, characters, scripts, story-world, terminology or methodology, or misrepresenting any affiliation with, approval by, or endorsement from The Codex Protocol or The Codex Protocol Limited.

(f) Use The Codex Protocol for unauthorised commercial purposes – including direct commercial promotion, solicitation, advertising of services, creating competing products or services, training others using The Codex Protocol materials, or otherwise using The Codex Protocol content, resources or methodology for any business or commercial purpose not expressly authorised by us in writing.

We may reject, suspend, disable or terminate your access to The Codex Protocol if you provide false or misleading information, fail to pay any applicable fees, violate these Terms, misuse The Codex Protocol or its content, materials, sessions, resources, tools, frameworks or methodology, or otherwise engage in conduct that we reasonably consider harmful to the integrity, security, confidentiality, reputation or operation of The Codex Protocol.

Where your access includes coaching sessions, the number, format, duration and availability of those sessions will be as described at the time of purchase or registration. Unless otherwise stated at the time of purchase or registration, coaching sessions must be used within the applicable programme access period, which is six (6) months from the date on which access to The Codex Protocol is first granted. Any coaching sessions not used within that period will expire and will not be refunded, credited or carried forward, unless otherwise agreed by us or required by applicable law. You are responsible for booking and attending coaching sessions in accordance with any instructions or scheduling process we provide. If you need to reschedule a session, you must give us at least twenty-four (24) hours’ notice. We may treat any coaching session cancelled with less than twenty-four (24) hours’ notice, or any coaching session which you fail to attend, as used, unless otherwise agreed by us or required by applicable law.

Programme Conduct and Community Standards

The Codex Protocol is designed to provide a respectful, confidential and high-trust environment for personal and professional development. Where your access includes live sessions, coaching support, cohort-based activities or community features, you agree to participate in a respectful, constructive and professional manner and to respect the privacy, confidentiality and experience of other guests, participants, coaches, facilitators and representatives of The Codex Protocol.

You must not disclose, publish or otherwise misuse any personal, confidential or sensitive information shared by other guests, participants, coaches, facilitators or representatives of The Codex Protocol, whether during live sessions, coaching sessions, cohort activities, community discussions or otherwise in connection with the programme. You must not make or publish any knowingly false, defamatory, malicious or unlawful statements about The Codex Protocol, The Codex Protocol Limited, its representatives, coaches, facilitators or other guests or participants.

The Codex Protocol is not a substitute for medical, psychological, legal, financial or other regulated professional advice. You remain responsible for your own decisions, actions and outcomes, including any personal, professional, career, business or financial decisions made during or following your participation in the programme. Results are not guaranteed, and your outcomes will depend on your own circumstances, decisions, actions and implementation.

We may update our programme guidelines, community rules or participation standards from time to time. You are responsible for complying with any such guidelines or rules that are made available to you, provided that they are consistent with these Terms and applicable law.

Changes to The Codex Protocol

The Codex Protocol may evolve over time, including during any founding cohort or early access phase. We may update, adapt, replace or remove content, materials, resources, tools, sessions, coaching formats, community features or other elements of The Codex Protocol from time to time, provided that we do not materially reduce the core features or access you purchased without offering an appropriate remedy where required by applicable law.

We may substitute coaches, facilitators or session formats where reasonably necessary, provided this does not materially reduce the core features of the access you purchased.

Confidentiality

You agree that during your access to The Codex Protocol, and at all times thereafter, you shall treat as confidential and shall not disclose to any third party, or use for your own benefit other than as permitted under these Terms, any non-public, proprietary, personal, sensitive or confidential information which you receive or obtain in connection with your access to or use of The Codex Protocol (“Confidential Information”).

Confidential Information includes, without limitation:

information, experiences, comments, disclosures or materials shared by other guests, participants, coaches, facilitators or representatives of The Codex Protocol;
The Codex Protocol business processes, systems, frameworks, tools, resources, exercises, coaching methods, methodologies, programme materials, scripts, characters, transmissions, personalised transmissions, story-world elements and narrative materials;
any personal data or proprietary information related to The Codex Protocol, The Codex Protocol Limited, its representatives, coaches, facilitators or other guests or participants that is not publicly available.

This obligation of confidentiality does not apply to information that:

(a) is or becomes generally available to the public other than through your breach of these Terms;

(b) is lawfully obtained from a third party who is not under an obligation of confidentiality; or

(c) is required to be disclosed by law, court order, or regulatory authority, in which case you shall, to the extent legally permissible, give prompt written notice to us prior to such disclosure.

You acknowledge that unauthorised use or disclosure of Confidential Information may cause substantial harm to us, our representatives, coaches, facilitators and/or other guests or participants, and that we may seek equitable relief, including injunctive relief, in addition to any other legal remedies available at law or in equity.

Data Protection and Privacy

All personal data processed by us through or in connection with The Codex Protocol shall be handled in accordance with applicable data protection laws in force from time to time including, but not limited to, the UK GDPR (the retained EU law version of the General Data Protection Regulation ((EU) 2016/679), as it forms part of the law of England and Wales, Scotland, and Northern Ireland by virtue of section 3 of the European Union (Withdrawal) Act 2018); the Data Protection Act 2018 (and any subordinate legislation and regulations made thereunder); and the Privacy and Electronic Communications Regulations 2003 (as amended).

The Codex Protocol Limited, as operator of The Codex Protocol, acts as an independent data controller in respect of personal data it collects and uses in connection with the administration, delivery, operation and improvement of The Codex Protocol, including registration, onboarding, payment administration, programme access, coaching support, communications and customer support. Our use of personal data is governed by our Privacy Policy available on The Codex Protocol, which applies to your use of The Codex Protocol. You should read the Privacy Policy carefully before accessing The Codex Protocol.

You acknowledge that coaching sessions or programme activities may involve you choosing to share personal or sensitive information. Any such information will be handled in accordance with our Privacy Policy.

You agree not to collect, use, disclose, record or otherwise process any personal data relating to other guests, participants, coaches, facilitators or our representatives except as expressly permitted under these Terms or with our prior written approval.

Intellectual Property Rights

You acknowledge that all rights, title and interest in and to The Codex Protocol, including its content, functionality, design, branding, trademarks, frameworks, tools, exercises, resources, prompts, templates, checklists, guided session formats, coaching methods, methodologies, programme structure, sequencing, terminology, characters, character names, character descriptions, scripts, voices, transmissions, personalised transmissions, narrative materials, narrative framing, story-world elements, curated editorial content, recordings, written materials, audio-visual materials, and any related materials (collectively, “The Codex Protocol Intellectual Property”), are and shall remain the exclusive property of The Codex Protocol Limited and/or its licensors. Nothing in these Terms grants you any right, title or interest in or to The Codex Protocol Intellectual Property, except for the limited right to access and use The Codex Protocol for your own personal, non-commercial use in accordance with these Terms.

Certain visual, avatar, video, voice, animation or technology elements used in The Codex Protocol may be generated, hosted, powered by or licensed from third-party providers, including avatar or AI-video providers. Nothing in these Terms transfers to you any rights in such third-party technology, imagery, avatars, tools or services. As between you and us, all original character concepts, names, scripts, transmissions, narrative materials, story-world elements, terminology and curated editorial content remain part of The Codex Protocol Intellectual Property, subject always to any third-party rights in the underlying technology, platform, imagery or tools used to create or deliver them.

You agree not to, directly or indirectly: (a) copy, download, extract, photograph, screen record, modify, adapt, distribute, reproduce, record, publish, share, transmit, resell, license, sublicense, make available or create derivative works based on The Codex Protocol Intellectual Property; (b) use The Codex Protocol Intellectual Property, including any character, character name, script, transmission, story-world element, narrative framing, terminology, voice or editorial device to create, develop, train, support or promote any competing product, service, course, coaching programme, methodology, framework, community, content channel or business; (c) use The Codex Protocol Intellectual Property to train, fine-tune, prompt, develop or improve any artificial intelligence, machine learning model, dataset, software, tool or automated system; (d) register or attempt to register any trademark, domain name, product name, character or character name, brand or social media handle that is identical or confusingly similar to The Codex Protocol’s marks; or (e) use The Codex Protocol’s Intellectual Property, name, logo, branding or materials in any manner without our prior written approval, except as expressly permitted by these Terms.

You must not remove, obscure, alter or interfere with any copyright notice, watermark, rights management information, branding, attribution or other proprietary notice included in or applied to any of The Codex Protocol content, materials, resources, tools, recordings or downloads.

You retain ownership of any original content, comments, reflections, questions, feedback or other materials that you submit through The Codex Protocol (“Guest Content”). By submitting Guest Content, you grant The Codex Protocol Limited a worldwide, non-exclusive, royalty-free licence to use, reproduce, store, process, display and adapt such Guest Content solely to the extent reasonably necessary to operate, provide, administer, improve and support The Codex Protocol, including coaching support, programme delivery, customer support and internal business purposes.

We will not publish your name, photograph, testimonial, case study or other identifiable Guest Content for marketing purposes without your consent, unless otherwise permitted by applicable law.

Use of AI

Where we use AI-enabled tools in connection with The Codex Protocol, including for administration, content organisation, coaching support, transcription, summarisation, analysis or programme improvement, we will do so in accordance with applicable data protection laws, our Privacy Policy and any confidentiality obligations owed to you. Where we record or transcribe any live session or coaching session, we will notify you in advance and, where required by law, obtain your consent.

AI-generated outputs may be incomplete, inaccurate, biased or unsuitable for your particular circumstances and will be subject to appropriate human review where used by us in connection with the programme. You remain responsible for your own decisions, actions and outcomes, and should not rely on any AI-generated output as a substitute for medical, psychological, legal, financial or other regulated professional advice.

Where required by applicable law, including applicable AI transparency laws, we may label, disclose or otherwise identify content, characters, avatars, audio, video or other materials made available through The Codex Protocol as AI-generated, AI-assisted, or synthetically generated.

Representations and Warranties

You represent and warrant that throughout your access to The Codex Protocol: (a) you meet and will continue to meet the eligibility and conduct requirements set out in these Terms; (b) all information you provide to The Codex Protocol is, and shall remain, accurate, complete and not misleading; and (c) you will comply with all applicable laws and regulations relevant to your access to and use of The Codex Protocol.

Except as expressly stated in these Terms, we make no representation or warranty, express or implied, regarding: (a) the availability, functionality, or accuracy of The Codex Protocol; (b) The Codex Protocol will achieve any particular personal, professional, career, business, financial or other outcome for you; or (c) any content, coaching, resources, tools, frameworks or materials will be suitable for your particular circumstances. We do not warrant that access to The Codex Protocol will be uninterrupted or error-free and disclaim liability for any interruptions or outages.

To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Codex Protocol and all content provided therein are made available on an “as is” and “as available” basis. The Codex Protocol and its content, materials, resources, tools, frameworks and coaching support are provided for general personal and professional development purposes only. You remain responsible for your own decisions, actions and outcomes.

Each party acknowledges that, in entering into these Terms, neither of us has relied on any representation, undertaking or promise given by the other, or implied from anything said or written between us prior to entering into these Terms, except as expressly set out herein.

Nothing in this section excludes or limits any rights or remedies you may have under applicable consumer law.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL:

A. THE CODEX PROTOCOL LIMITED, ITS GROUP MEMBERS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, COACHES, FACILITATORS, CONSULTANTS OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, PUNITIVE OR OTHER DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE OR INCOME, LOST PROFITS, LOSS OF GOODWILL, BUSINESS INTERRUPTION OR LOSS OF OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE CODEX PROTOCOL, THESE TERMS OR ANY CONTENT, MATERIALS, RESOURCES, TOOLS, FRAMEWORKS, COACHING SUPPORT OR SESSIONS PROVIDED THROUGH THE CODEX PROTOCOL, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE ENTIRE RISK ARISING OUT OF YOUR ACCESS TO AND USE OF THE CODEX PROTOCOL REMAINS WITH YOU;

B. WE BE RESPONSIBLE OR LIABLE IN ANY MANNER FOR ANY CONTENT POSTED, SHARED OR MADE AVAILABLE BY YOU OR ANY OTHER GUEST OR PARTICIPANT ON OR THROUGH THE CODEX PROTOCOL (INCLUDING CLAIMS OF INFRINGEMENT RELATING TO THAT CONTENT), OR FOR THE CONDUCT OF THIRD PARTIES OR OTHER GUESTS OR PARTICIPANTS ON OR THROUGH THE CODEX PROTOCOL; AND

C. OUR MAXIMUM AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE CODEX PROTOCOL OR THESE TERMS EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED GBP (£100), IF NO SUCH PAYMENTS HAVE BEEN MADE.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS OUR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FRAUD OR FRAUDULENT MISREPRESENTATION, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. NOTHING IN THESE TERMS AFFECTS YOUR STATUTORY RIGHTS AS A CONSUMER.

Indemnification

You agree to indemnify and hold harmless The Codex Protocol Limited, its group members, and their respective shareholders, subsidiaries, affiliates, successors, assigns, directors, agents, service providers, suppliers, coaches, facilitators, consultants and employees (collectively, the “Indemnified Parties”) from and against any claims, demands, actions, liabilities, losses, damages, fines, penalties, costs and expenses (including reasonable legal and professional fees) arising out of or relating to:

i. your access to or use of The Codex Protocol or its content, materials, sessions, resources, tools, frameworks or methodology;

ii. your unauthorised copying, recording, sharing, distribution, resale, commercial exploitation or other misuse of any of The Codex Protocol content, materials, sessions, resources, tools, frameworks or methodology;

iii. your breach of confidentiality, misuse of personal data, or violation of applicable data protection, privacy, consumer, advertising or other applicable laws and regulations;

iv. any actual or alleged infringement of third-party intellectual property, privacy, or other legal rights by you or your submitted content; or

v. your unlawful, fraudulent, abusive, harmful or unauthorised conduct in connection with The Codex Protocol.

This indemnity includes, but is not limited to, claims brought by other guests, participants, coaches, facilitators, service providers, regulators or third parties and shall survive the termination of these Terms and your access to The Codex Protocol.

No Guarantee of Outcomes

The Codex Protocol is provided as a digital programme with integrated executive coaching for personal and professional development. We do not guarantee that your access to or use of The Codex Protocol will lead to any specific personal, professional, career, business, financial, emotional, psychological or other outcome.

The Codex Protocol may include narrative, editorial, avatar-led or AI-generated content delivered through scripted fictional characters. These fictional characters are used as editorial and educational devices to present curated programme content. They are not acting as your treating clinician, adviser, coach, consultant or service provider and do not provide medical, psychological, legal, financial or other regulated professional advice.

Any content, materials, resources, tools, frameworks, coaching support or sessions provided through The Codex Protocol are intended to support your own reflection, development and decision-making. They do not constitute medical, psychological, legal, financial or other regulated professional advice.

You acknowledge that your participation in The Codex Protocol is undertaken at your own initiative and that your progress, results and outcomes depend on multiple factors outside the control of The Codex Protocol, including your own circumstances, decisions, actions and implementation.

Fees and Payments

You may be charged fees for access to The Codex Protocol, including digital content, resources, tools, live or recorded sessions, coaching support, cohort-based activities, community features and any other features or services made available as part of The Codex Protocol. Any applicable fees, access period, payment schedule and included features will be disclosed to you at the time of purchase or registration.

If you purchase access on a subscription, instalment or recurring payment basis, the applicable payment schedule, renewal terms and cancellation process will be disclosed to you at the time of purchase. You authorise us or our payment provider to charge your selected payment method in accordance with that payment schedule until cancelled in accordance with these Terms.

Payments may be processed by a third-party payment provider. By making a payment, you agree to comply with the relevant terms and policies of that payment provider. The Codex Protocol Limited shall not be liable for any errors, delays or issues arising from the acts or omissions of any third-party payment provider, except to the extent required by applicable law.

Unless otherwise stated at the time of purchase, all fees are payable in advance. You are responsible for ensuring that your billing information is complete, accurate and up to date. If any payment is not received when due, we may suspend or restrict your access to The Codex Protocol until payment has been received.

All fees are exclusive of any applicable taxes unless stated otherwise at the time of purchase. Where VAT or any other applicable tax is chargeable, it will be added to the price or otherwise disclosed in accordance with applicable law.

Cancellation and Refunds

Your cancellation and refund rights depend on the type of access, content or services you purchase and on whether you have requested immediate access to digital content or immediate commencement of any services. Nothing in these Terms affects any statutory rights you may have as a consumer.

Where you purchase access to digital content, including online modules, recordings, resources, tools, frameworks, exercises or other digital materials, you may have a statutory right to cancel within fourteen (14) days of purchase. However, if you expressly request immediate access to such digital content and acknowledge that you will lose your right to cancel once access begins, you will not be entitled to cancel or receive a refund for that digital content once access has been provided, except where required by law. For these purposes, access begins when login access, an access code or other means of access to The Codex Protocol is granted to you and the relevant digital content is made available to you, whether or not you choose to view, download or use that content. You may be asked at checkout or registration to confirm this request and acknowledgement.

Where your purchase includes services, including coaching sessions, live sessions, cohort-based activities or other support, you may have a statutory right to cancel within fourteen (14) days of purchase. If you request that we begin providing those services during the cancellation period, you acknowledge that, if you later cancel within that period, we may deduct or charge a reasonable amount for any services provided before cancellation. No refund will be due in respect of any coaching sessions, live sessions, cohort-based activities or other services already delivered before cancellation, except where required by law. If the services have been fully performed before you cancel, and you requested early performance and acknowledged that you would lose your cancellation right once the services were fully performed, you may lose your right to cancel those services. You may be asked at checkout or registration to confirm this request and acknowledgement.

To exercise any cancellation right, you must notify us clearly by email at [email protected] before the end of the applicable cancellation period.

Subject to your statutory rights as a consumer and unless otherwise stated at the time of purchase, fees are non-refundable once access to digital content has begun or services have started with your agreement. Any refunds due will be made using the same payment method used for the original purchase, unless otherwise agreed, and will be processed within fourteen (14) days of the date on which we confirm that a refund is due.

We may offer discretionary refunds, credits, extensions or transfers in individual cases, but doing so does not require us to offer the same or similar remedy in any other case.

Term and Termination

Your access to The Codex Protocol commences when you have completed any applicable registration, checkout or onboarding process, accepted these Terms, and we have granted you access to The Codex Protocol, including by creating or enabling your account, providing an access code, or otherwise making The Codex Protocol available to you. Your access shall remain in effect for the applicable access period disclosed to you at the time of purchase or registration, unless terminated earlier in accordance with these Terms.

You may terminate your access to The Codex Protocol at any time by providing written notice sent by email to the notice email set out below. Termination will take effect within seven (7) calendar days of receipt, or on a later date specified in your notice. Any refund or cancellation rights shall be determined in accordance with the cancellation and refunds section of these Terms and your statutory rights as a consumer.

We may terminate your access for convenience by providing at least seven (7) calendar days’ written notice to you by email or through The Codex Protocol. Where we terminate for convenience, this will not affect any refund or statutory rights you may have as a consumer.

We reserve the right to suspend or terminate your access immediately and without prior notice (subject always to any statutory rights you may have as a consumer) if, in our reasonable discretion, we determine that you have:

breached these Terms or any applicable programme guideline, community rule or policy of The Codex Protocol;
provided false, misleading, or incomplete information;
failed to pay any applicable fees when due;
misused The Codex Protocol or any of The Codex Protocol content, materials, sessions, resources, tools, frameworks or methodology;
copied, downloaded, extracted, photographed, screen recorded, recorded, shared, distributed, resold, commercially exploited, used for AI training or otherwise exploited any of The Codex Protocol content, materials, sessions, resources, tools, frameworks, prompts, templates, checklists, guided session formats, transmissions, characters, scripts, story-world, terminology or methodology without authorisation;
engaged in conduct that is abusive, disruptive, discriminatory, harassing, unlawful, unethical, or otherwise likely to harm The Codex Protocol, The Codex Protocol Limited, other guests, participants, coaches, facilitators, representatives, or the reputation of The Codex Protocol; or
engaged in conduct that places The Codex Protocol or The Codex Protocol Limited at legal, regulatory, security, confidentiality or reputational risk.

Any breach of the intellectual property, confidentiality or access restrictions in these Terms may result in immediate suspension or termination of your access to The Codex Protocol, subject always to any statutory rights you may have as a consumer.

Your access to The Codex Protocol will expire at the end of the applicable access period disclosed to you at the time of purchase or registration, unless extended by us in writing or terminated earlier in accordance with these Terms. We may deactivate or close your account after your access period has expired, subject to any statutory rights you may have as a consumer.

Upon the expiry or termination of your account on The Codex Protocol for any reason:

i. you must immediately cease accessing and using The Codex Protocol;

ii. you must return or permanently delete, where appropriate, any Confidential Information, materials, documents or access credentials in your possession, custody or control;

iii. all rights granted to you under these Terms shall cease immediately, except for any rights which expressly or by their nature are intended to survive termination; and

iv. termination shall not affect any rights, remedies, obligations or liabilities that accrued before the date of termination.

Miscellaneous

These Terms constitute the entire agreement between you and us and supersede any prior agreements, understandings, or representations, whether oral or written, relating to the subject matter herein.

If at any time any provision of these Terms shall be held to be illegal, void, invalid or unenforceable in whole or in part by any court or administrative body in any jurisdiction, then such provision shall be enforced to the maximum extent permissible so as to affect our intent and (a) to the extent that it is illegal, void, invalid or unenforceable be given no effect and shall be deemed not to be included in these Terms; and (b) not affect or impair the legality, validity or enforceability in that jurisdiction of any other provision of these Terms; or the legality, validity or enforceability under the law of any other jurisdiction of such provision or any other provision of these Terms; and we shall use all reasonable endeavours to replace such a provision with a valid and enforceable substitute provision which carries out, as closely as possible, the intentions of these Terms.

Our rights and remedies shall not be affected by any failure by us to exercise or delay in exercising any right or remedy or by the giving of any indulgence to you or by anything whatsoever except a specific waiver or release in writing by a duly authorised representative of The Codex Protocol Limited and any such waiver or release shall not prejudice or affect any other rights or remedies we may have. No single or partial exercise of any right or remedy shall prevent any further or other exercise thereof or the exercise of any other right or remedy.

We shall not be liable for any delay or failure to perform our obligations under these Terms where such delay or failure is caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, civil unrest, terrorism, labour disputes, governmental or regulatory actions, power or internet outages, cyberattacks, platform outages, third-party service provider failures, or other events beyond our reasonable control.

The Codex Protocol may include references to third-party works, materials, authors, artists, films, books or other cultural materials for editorial, educational or contextual purposes. Unless expressly stated otherwise, all third-party names, titles, brands, works and intellectual property remain the property of their respective owners. No endorsement, sponsorship, affiliation or approval is implied. You may not use any third-party materials referred to or appearing in The Codex Protocol except as permitted by applicable law.

The Codex Protocol may be made available through third-party platforms, tools or service providers. Your use of those third-party services may be subject to their own terms and policies. We are not responsible for third-party services except to the extent required by applicable law.

Any provisions of these Terms which by their nature are intended to survive termination, including but not limited to clauses on confidentiality, data protection, intellectual property, limitations of liability, indemnification, cancellation and refunds where relevant, and dispute resolution, shall remain in full force and effect following termination.

You may not, without our prior written consent, assign or transfer these Terms, by operation of law or otherwise. Any attempt by you to assign or transfer these Terms without such consent shall be ineffective. We may assign or transfer these Terms as part of any merger, reorganisation, sale of business, transfer of assets, investment, group restructuring or similar transaction, provided that this does not materially reduce your rights under these Terms. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors and permitted assigns.

These Terms do not and are not intended to confer any rights or remedies upon any person other than you and us.

Nothing herein is intended, nor should be construed, to create a partnership, joint venture, agency, franchise, sales representative, or employment relationship between us. You shall not enter into any contract or commitment with third parties as agent for or on our behalf; describe or present yourself as such an agent; hold yourself out as being authorised to act on our behalf; or otherwise act on our behalf or represent us in any manner, or for any purpose.

Any notices or other communications permitted or required under these Terms, including those regarding modifications to these Terms, will be in writing and given by us by email to the address that you provide or by posting a notice through The Codex Protocol. All notices given by you to us must be sent to us at [email protected] or to any updated contact email address notified by us from time to time. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted, provided that no delivery failure notification is received.

To the fullest extent permitted by law, these Terms and any disputes, controversies or claims arising out of or in connection with their subject matter are governed by and construed in accordance with the laws of England and Wales. If you are a consumer resident outside England and Wales, you may also benefit from any mandatory consumer protection rights available to you under the laws of the country in which you live.

The courts of England and Wales shall have jurisdiction over any dispute arising out of or in connection with these Terms, except that if you are a consumer resident in another part of the United Kingdom or in another country, you may also bring proceedings in the courts of the place where you live where required by applicable consumer law. Nothing in this clause limits our right to seek interim or injunctive relief in any competent court.
